1. Acceptance of Terms
By accessing or using the ReasonTele Connect platform (“Services”) provided by ReasonWorks AI Inc. (“ReasonTele,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services. These Terms constitute a legally binding agreement between you and ReasonWorks AI Inc.
2. Description of Service
ReasonTele Connect is a technology platform that facilitates telehealth communication between healthcare providers and patients. The platform includes video conferencing, real-time language translation, and AI-powered clinical documentation features.
ReasonTele is a technology provider. We are NOT a healthcare provider, and we do not provide medical advice, diagnosis, or treatment.
3. Eligibility
The Services are available only to licensed healthcare organizations and their authorized personnel. By using the Services, you represent that you are authorized to bind your organization to these Terms and that your organization holds all licenses and credentials required to provide healthcare services in the jurisdictions where it operates.
4. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials.
- You must ensure that only authorized personnel access the Services through your account.
- You agree to provide accurate and current information during registration and to keep it up to date.
- You must notify us immediately of any unauthorized use of your account.
5. Acceptable Use
You agree not to:
- Use the Services for any illegal purpose or in violation of applicable healthcare regulations.
- Allow unlicensed individuals to provide clinical services through the platform.
- Share, export, or transmit PHI outside the platform except as permitted by applicable law and your BAA.
- Reverse engineer, decompile, or attempt to extract the source code of the platform.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services to transmit malware, spam, or other harmful content.
6. HIPAA Compliance & BAA
Before any Protected Health Information (PHI) is processed through the platform, Customers must execute a Business Associate Agreement (BAA) with ReasonWorks AI Inc. The BAA governs our obligations regarding PHI under HIPAA. For more information, visit our BAA page.
7. Medical Disclaimer
ReasonTele does not provide medical advice. No doctor-patient relationship exists between ReasonTele and any patient using the platform. The Services are a communication tool — all clinical decisions, diagnoses, and treatment plans are the sole responsibility of the healthcare provider.
ReasonTele Connect is NOT for medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency number immediately.
8. Telehealth Disclaimers
- Telehealth technology has inherent limitations including potential latency, connectivity issues, and reduced ability to perform physical examinations.
- Telehealth is not a substitute for in-person care when in-person evaluation is clinically indicated.
- Healthcare providers are solely responsible for exercising clinical judgment and determining whether telehealth is appropriate for each patient encounter.
- Obtaining informed patient consent for telehealth services is the responsibility of the healthcare provider, in compliance with applicable state and federal laws.
9. AI Features Disclaimer
The platform includes AI-powered features such as real-time language translation and clinical scribe (automated session notes). These features are provided as assistive tools only.
Important: AI outputs may contain errors.
- Translations and scribe notes are AI-generated and may contain inaccuracies.
- Providers must independently verify all clinical information generated by AI features before making clinical decisions.
- AI translation is not a substitute for certified medical interpreters where legally required.
- ReasonTele is not liable for clinical decisions made based on AI-generated content.
10. Intellectual Property
The ReasonTele Connect platform, including its software, design, logos, and documentation, is the intellectual property of ReasonWorks AI Inc. and is protected by applicable intellectual property laws. Customers retain ownership of their data, including any AI-generated session notes and documentation produced through the platform.
11. Fees & Payment
Fees for the Services are set forth in your subscription agreement. All fees are non-refundable unless otherwise specified in your agreement. We reserve the right to modify pricing with 30 days written notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REASONTELE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
REASONTELE SHALL NOT BE LIABLE FOR ANY MEDICAL OUTCOMES, MISDIAGNOSIS, TREATMENT DECISIONS, OR CLINICAL ERRORS ARISING FROM THE USE OF THE SERVICES, INCLUDING AI-GENERATED CONTENT.
IN NO EVENT SHALL REASONTELE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
13. Indemnification
Customer Indemnification: You agree to indemnify and hold harmless ReasonWorks AI Inc. from claims arising from:
- Medical malpractice or clinical negligence by your providers.
- Unlicensed practice of medicine through the platform.
- Failure to obtain required patient consent for telehealth services.
- Your violation of applicable healthcare laws or regulations.
Our Indemnification: We will indemnify and hold harmless Customers from claims arising from:
- Our breach of the executed BAA.
- Security failures resulting from our negligence or willful misconduct.
- Our violation of applicable privacy laws.
14. Termination
Either party may terminate these Terms with 30 days written notice. We may terminate immediately for material breach of these Terms, including violation of acceptable use policies or failure to maintain required licenses. Upon termination, your data will be securely deleted within 30 days, subject to any legal retention requirements and the terms of your BAA.
15. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. Each party shall bear its own costs and attorney's fees.
16. General Provisions
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
- Entire Agreement: These Terms, together with the BAA and any applicable subscription agreement, constitute the entire agreement between you and ReasonTele.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, government actions, or internet service disruptions.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
